UW2 PAY LTD is licensed by and registered with FINTRAC as a Money Service Business with FINTRAC license no. C100000711 as required by the Canadian Federal Law combating money laundering and terrorism financing for businesses such as UW2 PAY LTD in the financial sector. Any licensing or regulatory enquiries or complaints about the Company and its services should be addressed to the Company at its Registered Address.
UW2 is a trade name of UW2 PAY LTD.
As used in these Terms and Conditions, “UW2 PAY LTD” or “UW2” or “the Company” or “us” or “we” refers to the company UW2 PAY LTD, registered in Canada with the British Colombia Register under the company number BC1516153 with its registered address 22420 Dewdney Trunk Road, Suite 300 Maple Ridge, BC V2X 3J5 Canada.
UW2 PAY LTD is not a bank and, as such, is not part of a depositor protection scheme. UW2 PAY LTD is a Fintech platform which may rely on licensed third party service partners.
When you register on the UW2 platform/s or website (jointly and severally a “Portal”) you consent to your data being shared immediately with third parties who we have contracted with to offer and provide you with their services. Your identity verification information and documents will be shared with some or all of our third-party service providers, some of whom may be disclosed in the UW2 Privacy Statement as varied from time to time. A digital-wallet will be opened for you when you successfully register with UW2, which may be with one of our third-party service providers. When you perform other actions via the UW2Platform, your identity verification information will most likely be securely shared with the other relevant licensed service partners in order to provide the services. Any and all customer funds are deposited with third party providers and are securely held by licensed banks and/or Central Banks.
These General Terms (hereinafter, the Terms), along with any updates and any other legally relevant terms or information related to the use of the services provided by the Application, will be available to the User at all times within the Application, without prejudice to such information being sent to the User or appearing on websites owned by the Application’s owner or its corporate group.
Once the Application has been downloaded and/or the User is registered, the User must have read and accepted all the terms and conditions contained in these Terms, along with the Privacy Policy (collectively referred to as the Agreement).

Application Owner: The owner of this Application is UW2 PAY LTD (hereinafter, UW2), Incorporation Number BC1516153, and FINTRAC registration number C100000711 with its registered address at 22420 Dewdney Trunk Road, Suite 300 Maple Ridge, BC V2X 3J5 Canada. For any inquiries or incidents related to the Application and its operation, Users may contact: support@uw2pay.com
User: Any person who registers in the Application and accepts these Terms.
The purpose of this document is to establish the Rules of Use and to ensure the Protection of Users of the online platform, which allows the processing of payments and various types of financial operations. The platform is owned by UW2 PAY LTD, registered with FINTRAC under number C100000711.

Access and registration on the technological platform, as well as the use of its services and resources and any products or services available through it, are completely voluntary and imply the express acceptance of all terms set out in these General Terms in the version published at the time of access. Access to certain specific services may also require acceptance of additional Specific Terms, and UW2 reserves the right to modify these General Terms of Use at any time.
Similarly, the use of the site and/or its services implies full and unreserved reading and acceptance of these Terms and, where applicable, the General Contracting Conditions. The User guarantees not to use the site in bad faith or for any illegal or prohibited purpose under these General Terms. UW2 may deny access to the service in case of breach of any provision of this agreement. Furthermore, the User may be required to provide any requested information, including proof of identity, address, and other documentation needed to comply with anti-money laundering (AML) and counter-terrorism financing (CTF) procedures.
The User guarantees that they are at least 18 years old and legally authorized to enter intocontractual obligations. They also declare financial responsibility for their activities on this platform.
USER: A natural or legal person using the software system to perform any type of financial operation (collections, payments, money transfers, fund transfers, or any other operation supported now or in the future). These General Terms will be deemed accepted when any transaction is made.
SENDER (ORDERING PARTY): A natural or legal person who initiates a payment or collection order.
BENEFICIARY: A natural or legal person who is the recipient of the funds that are the subject of a payment or collection order.
In some cases, the sender and beneficiary may be the same entity — for example, when a User processes a credit card payment for their own services and receives the resulting funds into a personal or business account.
BUSINESS DAY: A day when payment service providers involved in a transaction (for both sender and recipient) are open for business and able to execute the transaction.
SERVICE: Legally permitted operations including currency exchange, money transfers, cryptocurrency transactions, and others.
CRYPTOCURRENCY: Digital assets such as Bitcoin, Ethereum, stablecoins, etc.
PLATFORM: Web interface owned by the Company through which financial services are managed.
UBO (Ultimate Beneficial Owner): Any natural person who owns the User (a legal person or a foreign undertaking) or controls the User and/or the natural person on whose behalf a transaction or activity is being conducted. Defined according to Canadian AML laws.
Minimum Age Requirement: Only available to persons of legal age.
System Requirements: Use of the service involves hardware, software, and internet access. Your ability to use the service may be affected by the performance of these components. You acknowledge and accept that it is your responsibility to meet the necessary system requirements.
Finality of Transactions: All operations carried out through UW2’s services are final. You will not have the right to cancel a transaction once it has been completed.
Product Requirements: Some services may require the use of additional hardware or software, and you are solely responsible for acquiring such tools.
The user agrees not to use the service to perform commercial transactions that may be considered criminal. UW2 reserves the right to request any documents or information necessary to ensure appropriate and lawful use of the service.
The payment system license granted to the User is for personal and/or commercial use only, and may not be redistributed, transferred, or sublicensed unless expressly authorized in writing by UW2.
The User agrees not to tamper with or assist others in bypassing, disabling, or modifying any security technologies, source code, or software associated with the service. No intellectual property rights over the technical implementation of the service are transferred to the User.
By using UW2’s service, the User agrees to pay for all contracted services at the prices indicated on the official pricing schedule published on the website. UW2 reserves the right to deduct fees per transaction, including applicable taxes, financial charges, or penalties.
At the time of processing a transaction, UW2 will inform the sender of all associated fees and the amount the recipient will receive. The sender must accept these conditions before the transaction is completed. Once completed, no claims or disputes will be accepted.
The service has an indefinite duration, unless stated otherwise. UW2 may suspend, freeze, or delete user accounts for violations of these Terms. Users may cancel their accounts at any time, but cancellation does not exempt them from fulfilling pending obligations.
Price and Availability: Prices and availability may change at any time to ensure continued service and functionality. These changes will not apply to previously confirmed transactions.
UW2 accepts credit card payments and wallet account transfers. Accepted cards include American Express, Visa, MasterCard, and others. Card limits may affect your ability to complete certain transactions.
2.4 – USER-PROVIDED INFORMATION
Users are responsible for the accuracy and truthfulness of the data they provide. UW2 reserves the right to act upon any discrepancies or false information.
Verification requirements include:
● Complete registration
● Identity and address documentation
● Possible proof of source of funds
● Additional screening if deemed high-risk
UW2 complies with PCMLTFA, PIPEDA, and FINTRAC standards.
The User declares they hold the rights over submitted content and resources and will indemnify UW2 against any third-party claims regarding intellectual property violations.
2.5 – USER CONFIDENTIALITY DUTY
Users must safeguard their login credentials and notify UW2 immediately in case of theft, unauthorized access, or loss. UW2 is not liable for any resulting data breach or misuse due to negligence.
Users are prohibited from copying, altering, or interfering with the platform. Any unauthorized use of platform vulnerabilities may result in permanent account suspension.
All content on the platform — including logos, images, text, animations, software, and domain names — is owned by UW2 or third parties with proper authorization and is protected by intellectual property laws. Reproduction, distribution, or modification without written consent is strictly prohibited.
UW2 PAY LTD collects and processes personal data in accordance with PIPEDA.
It may use the information contained in the Software and gathered through the Platform to prepare any type of statistics related to occupancy rates, overnight stays, number of seats, number of reservations, total collections, origins of payments, service availability, user demographics, contracted services, identity verification, transaction monitoring, fraud prevention, and regulatory compliance reporting to FINTRAC. This information and the resulting insights are the exclusive property of UW2 PAY LTD and may be used, offered, or sold to third parties without any compensation to the User. This data will always be general and anonymized, so that no individual user or business can be identified.
UW2 PAY LTD offers this website “as is” and makes every reasonable effort to keep it updated, maintained, and fully functional. However, it cannot guarantee the absence of technical failures, uninterrupted service, or full operational availability at all times. UW2 PAY LTD provides various types of information regarding products and services offered by third parties through the site and cannot be held legally liable for the accuracy, truthfulness, or currency of such data.
Availability and pricing data published on the website are under the responsibility of the accommodation providers or service operators integrated within the UW2 quality network. In the event of any incident related to service delivery or payment orders, liability will rest with the individual providers. UW2 PAY LTD reserves the right to update or modify the information on the website, as well as its design, availability, and these Terms of Use, at any time without prior notice.
6. INTELLECTUAL AND INDUSTRIAL PROPERTY RIGHTS
Both the Software and the Platform’s design, source code, logos, trademarks, and other distinguishing elements belong to UW2 PAY LTD or its licensors and are protected by intellectual and industrial property rights. Any reproduction, distribution, public communication, transfer, transformation, reverse engineering, or similar activities are strictly prohibited without the express written consent of UW2 PAY LTD or the corresponding rights holder.
All content published by UW2 PAY LTD on the Platform in any format is likewise protected and may only be used or reproduced within the scope of a formal contractual relationship.
To offer money remittance services, UW2 PAY LTD is registered with FINTRAC under license number C100000711.
The MSB maintains a Customer Service Department. This department is available to handle complaints and inquiries from users of money transfer services.

8. PRE-CONTRACTUAL INFORMATION AND GENERAL CONDITIONS OF THE PAYMENT SERVICES FRAMEWORK AGREEMENT
The provisions in this section supplement the other terms of this contract, applicable to the payment services offered by the MSB under this agreement.
These General Terms apply to the following payment services provided by the MSB:
● Deposits and withdrawals of funds into/from a payment account, and operations related to managing such an account.
● Execution of payment transactions, including funds transfers, through the User’s payment service provider or another provider.
● Execution of payment operations initiated by telecommunications or IT devices that act solely as intermediaries between the User and the merchant or service provider.
● Provision of operational or auxiliary services closely linked to payment services, such as guarantees, currency exchange, custody services, or data handling.
● Issuance and acquiring of payment instruments.
Each transaction will be assigned a unique transaction ID for future tracking.
9.3 – CONSENT AND AUTHORIZATION FOR PAYMENT ORDERS
A payment transaction is considered authorized if the User has given consent using any form of remote communication recognized by law, including electronic or online means.
9.4 – IRREVOCABILITY AND CANCELLATION OF A PAYMENT ORDER
Payment transactions become irrevocable once received by the MSB. If received outside business hours, the effective date will be the next business day. Consent may be withdrawn at any point prior to the transaction becoming irrevocable.
9.5 – REJECTION OF PAYMENT ORDERS
The MSB reserves the right to reject payment orders in cases such as:
(i) insufficient funds,
(ii) failure to provide required documentation,
(iii) transactions requiring additional regulatory review.
Rejected orders will not be considered as received. Users will be informed, unless security reasons or laws prevent it. Complaints may be submitted via support@uw2pay.com.
9.6 – MAXIMUM EXECUTION TIME AND VALUE DATES
P2P payments between Users require both parties to have an account with the MSB. Execution is nearly immediate, and at most, completed by the end of the next business day.
Transfers to external providers will be credited no later than the end of the next business day after the order is received.
The value date for the credit in the beneficiary’s account shall not be later than the date the MSB transfers the amount. The charge to the sender’s account will not occur before the actual transaction date.
The User agrees to pay all applicable service fees and charges as per the prevailing rates listed in the Application and the MSB’s official website at the time of the transaction.
For transactions involving currency exchange, the applicable rate will be the one published on the MSB’s website on the day of execution, unless otherwise agreed. Exchange rate modifications may take effect immediately without prior notice.
9.9 – UNAUTHORIZED OR INCORRECTLY EXECUTED PAYMENTS
If the User becomes aware of any unauthorized or incorrect payment transaction, they must report it without undue delay and within a maximum of 2 months from the debit/credit date, by email to support@uw2pay.com
The User must:
● Safeguard the mobile device where the Application is installed.
● Keep their PIN confidential.
● Immediately notify the MSB in case of loss, theft, or unauthorized access.
9.11 – PAYMENT ORDER CANCELLATION POLICY
All transactions are irrevocable once received by the MSB. If received on a non-business day, processing occurs the next business day. Consent may be withdrawn before irrevocability. No refund policy applies; UW2 does not process returns.
10 – GOVERNING LAW AND JURISDICTION
These General Terms of Use are governed by Canadian law.
In the event of any doubt, dispute, or conflict regarding the interpretation or application of these Terms or any aspect of the services offered through the Platform, both UW2 PAY LTDand the User agree to submit to the Courts and Tribunals of British Columbia, Canada, expressly waiving any other jurisdiction.
